Über die BIKA® e.V.

§ 1 Name and Registered Office

The association bears the name “Bobath Initiative for Hospital and Elderly Care e.V.”, abbreviated as BIKA® e.V. It is based in Ettlingen and registered with the local court of Ettlingen.

§ 2 Purpose of the Association

The association pursues the following objectives:

a) Professionalization of caregivers in therapeutic-activating Bobath BIKA® care for patients with central nervous system impairments, aiming to:

1. Promote and individually activate patients in their everyday competencies
2. Support preventive measures for caregivers through back-friendly working methods
3. Prevent secondary complications in patients

b) Promote the dissemination of the Bobath concept in hospital and elderly care

c) Further develop and enhance the quality of the Bobath concept in nursing, based on research findings, especially in nursing science

d) Collaborate with individuals and organizations that support the Bobath concept

§ 3 Non-Profit Status

BIKA® e.V. exclusively and directly pursues charitable purposes within the meaning of the section “tax-privileged purposes” of the German Fiscal Code.
Its aim is to improve public health care.
The association operates selflessly and does not primarily pursue commercial interests.

Funds are used solely for statutory purposes. Members do not receive profit shares or other benefits from the association’s funds. No person shall be favored through expenditures unrelated to the association’s purpose or through disproportionately high compensation.

§ 4 Membership

(1) Ordinary membership is open to:

a) Certified Bobath BIKA® nursing instructors

b) Individuals who were already ordinary members on November 24, 1996

c) Individuals approved by the general assembly

(2) Associate membership is open to:

a) Individuals intending to become certified Bobath BIKA® nursing instructors

b) Those with nursing qualifications or at least two years of elderly care training

c) Individuals with at least one year of practical experience caring for patients with central nervous system lesions in neurology, internal medicine, or geriatrics

d) Those who have completed an 8-day Bobath basic nursing course according to BIKA® e.V. or VeBID guidelines

e) Individuals with further practical and theoretical experience in the Bobath concept

f) Supporters of the association’s work and goals who do not meet the above criteria

g) Persons who have made outstanding contributions to the Bobath concept may be appointed honorary members by the board. They have the same rights as associate members but are exempt from membership fees.

(3) Membership is granted by board resolution upon written application. It ends upon resignation, expulsion, or death. Resignation must be submitted in writing to the board and is effective at the end of the calendar year.

(4) Members who fail to fulfill their statutory obligations or act in a manner detrimental to the association may be expelled by resolution of the general assembly after a hearing.

§ 5 Membership Fees

Members are required to pay an annual fee, determined by the general assembly. The fee is due on January 15 each year and must be paid in full, even in the year of joining.

§ 6 Governing Bodies

The governing bodies of the association are:

a) The General Assembly

b) The Board

§ 7 General Assembly

The general assembly consists of all ordinary members, each with one vote.

(1) It may convene regularly or extraordinarily.

(2) Regular meetings are held at least once a year upon written invitation from the board, including the agenda. Notice must be given at least four weeks in advance.

(3) Extraordinary meetings must be convened within four weeks if requested in writing by the board or one-third of the ordinary members, stating the purpose and reasons. These meetings are valid regardless of attendance numbers. Invitations must be sent at least two weeks in advance.

(4) A quorum requires at least one-third of members to be present. If not met, a second meeting with the same agenda is convened and is valid regardless of attendance. Decisions are made by simple majority; in case of a tie, the proposal is rejected.

(5) The meeting is chaired by the first chairperson or, if unavailable, by the deputy chairperson.

(6) Minutes must be recorded and signed by the chairperson and the minute taker.

§ 8 Responsibilities of the General Assembly

The general assembly is responsible for:

a) Electing the board

b) Deciding on amendments to the statutes and dissolution of the association

c) Deciding on member expulsions

d) Granting discharge to the board and issuing recommendations for the next term

e) Deciding on the outcomes of working groups

§ 9 Board of Directors

The board is elected for a two-year term by the general assembly; re-election is permitted. The board remains in office until a new board is appointed. It consists of:

• Chairperson
• Deputy Chairperson

The association is legally represented by either the chairperson or the deputy chairperson, each with individual signing authority.

§ 10 Duties of the Board

The board is responsible for all administrative and financial matters of the association, unless assigned to the general assembly.

§ 11 Dissolution of the Association

The association may be dissolved by a resolution of the general assembly with a three-quarters majority of votes cast. A liquidator is appointed to manage the dissolution.

Upon dissolution, termination, or loss of its charitable purpose, the association’s assets shall be transferred to the charitable organization “Deutsche Hospiz Stiftung”, registered with the district government of Düsseldorf under number 623.

§ 12 Amendments to the Statutes

Amendments to the statutes require a resolution by the general assembly with a two-thirds majority of voting members present. Amendments to the statutes require a resolution by the general assembly with a two-thirds majority of voting members present.

The statutes were established on October 15, 1994, and revised at the general assembly on March 3, 2012.
